# Hosting Checkout Packet

**Version HC-2026-10-25-v1 · Issued October 25, 2026**

This packet contains the checkout terms, Master Client Service Agreement, Hosting Order and Hosting Account Access Authorization. It applies only to business purchases of Hosting (formerly Core) through a HuskyTail Stripe checkout that expressly links to this version. Permanent packet URL: https://www.huskytaildigital.com/hosting-terms/2026-10-25-v1/hosting. Save or print this packet and your order confirmation for your records.

## Checkout terms — acceptance, billing, setup and refunds

**C1. Electronic acceptance.** HuskyTail Digital Marketing, LLC offers this packet for acceptance through its authorized Stripe checkout. By publishing this offer through its authorized representative, HuskyTail adopts its name here as its electronic signature for this transaction. By checking the required agreement box and selecting Subscribe, the person completing checkout electronically signs this entire packet for the business identified at checkout and confirms authority to bind that business. Both parties agree to transact electronically. The agreement takes effect when Stripe confirms successful initial payment, which is the Effective Date. No separate handwritten signature, later countersignature or second acceptance on the welcome page is required. An unsuccessful payment or a visit to the welcome page alone does not create this agreement.

**C2. Your order.** Your selected plan is Hosting (formerly Core). Your Stripe checkout and order confirmation identify your business legal name, authorized representative, entity type and state, billing address, notice email, covered website and platform, and payment details. Those details complete the Order Summary and Hosting Order below. Each subscription covers one website. Only the selected plan's scope applies; references to the other plan in the common terms explain differences and do not purchase or include that other plan. The checkout email is the Client notice and approval email. Any separate business name and publicity opt-out recorded at checkout form part of the order. This plan is for business use.

**C3. Charges and renewal.** Hosting costs US $29 every 4 weeks (28 days), plus applicable tax shown before payment. The first charge is due and collected at checkout. You authorize Stripe to charge the selected payment method automatically at the start of each subsequent 28-day cycle until termination under C5. There are 13 billing cycles per 52 weeks; this is not monthly billing. There is no setup fee or deposit. Billing starts on the Effective Date, including during migration and setup. The order confirmation states the first paid period and next billing date. No 14-day payment window applies to these subscription charges. Any later fee change remains subject to Master Section 4.6 and its advance written notice.

**C4. Setup and inability to onboard.** We will email your setup details, usually within 24–48 hours. This is an expected response time, not a promise that migration or setup will be complete within that period. Setup depends on the necessary information, access and coordination with you. One initial migration is included. Backups and uptime checks start once your site is set up on our hosting. If HuskyTail cannot onboard the covered website, we will notify you, cancel the subscription without requiring 30 days' notice, stop further charges and refund in full all amounts paid for this hosting order, including associated tax. We will not deduct a setup or payment-processing fee from that refund. Refunds are returned to the original payment method; bank processing may take additional time.

**C5. Cancellation and daily proration.** Either party may cancel with at least 30 days' written notice. Send your cancellation notice to support@huskytaildigital.com. Email notice is effective when sent unless you receive a bounce or error, as provided in Master Section 14.1. We will confirm the termination date. Fees and services continue through that date; a scheduled renewal falling before termination may still be charged. No further renewal is charged on or after termination. After termination, we will refund unused prepaid service fees for the period after termination, calculated as the recurring service fee actually paid for the affected 28-day cycle divided by 28, multiplied by the unused portion of that cycle in days. A partial unused day is calculated proportionately; the final refund is rounded to the nearest cent. We also refund the associated tax attributable to the refunded service fees. No early-cancellation or processing fee is deducted. This refund does not erase charges for services through termination or separately approved work already earned. C4's full refund applies instead if we cannot onboard; the same payment is not refunded twice. Other express service remedies and rights that cannot lawfully be waived remain unchanged.

**C6. Which terms control.** These checkout terms replace conflicting acceptance, effective-date, signature and payment-timing provisions in the Master opening and Sections 1.1, 4.2, 4.4 and 10.1, the Order opening, Section 1 Billing/Start and Section 8 closing, and the Exhibit A and packet signature instructions. C4 and C5 supplement Master Sections 5.1 and 5.3 and Order Section 7 with the stated onboarding and proration refunds. Mutual confidentiality starts on the Effective Date; its protections are unchanged. The rest of the packet remains in force. This packet governs the hosting purchase over conflicting general website Terms; the [website Terms](https://www.huskytaildigital.com/terms-and-conditions) still govern use of our website. This checkout does not amend any separately executed agreement unless that agreement and the change are expressly identified and accepted as required by Master Section 14.7.

**C7. Fixed version.** Your agreement is this version, completed by your checkout record and order confirmation. A later website edit or new packet version does not change your accepted agreement. Changes require the notice or acceptance specified in this packet; changes to mutual confidentiality require both parties' electronic or handwritten signatures under Master Section 14.7. You may request a copy of your accepted packet and order details at support@huskytaildigital.com.

This Master Client Service Agreement (the "Agreement") is made on the Effective Date established in Checkout Term C1 between **HuskyTail Digital Marketing, LLC**, a Nevada limited liability company, 10120 W Flamingo Rd, Ste 4 #1166, Las Vegas, NV 89147 ("HuskyTail"), and the client named above ("Client"). HuskyTail and Client are each a "party."

## 1. Structure of this Agreement

1.1 **Agreement and Scopes of Work.** This Agreement sets the legal terms for all services HuskyTail provides to Client. Each service, with its plan and fees, is described in a scope of work or order form signed or accepted by both parties (each, a "Scope of Work"). The Scope of Work and Exhibit A included in this packet are part of this Agreement and are electronically accepted under Checkout Term C1; neither requires a separate signature. Later Scopes of Work, plan changes and change orders are added by written acceptance, including by email or electronic signature.

1.2 **Order of precedence.** If documents conflict, this order applies: (a) a signed change order, for the change it describes; (b) the Scope of Work, for scope, deliverables, schedule and fees; (c) this Master Agreement, for everything else; and (d) Exhibit A. Exhibit A supplies the account-access authorization and restrictions; Section 14.1 expressly recognizes its special address for access-revocation notices. A Scope of Work changes a legal term of this Master Agreement only if it names the section it changes. Any change to Section 10 must also satisfy Section 14.7.

1.3 **Website Terms.** This Agreement replaces the Terms & Conditions on huskytaildigital.com for the services covered here. Those Terms still govern Client's use of HuskyTail's website.

## 2. Services

2.1 **Performance.** HuskyTail will perform the services in each Scope of Work in a professional and workmanlike manner, consistent with generally accepted practices in the search-marketing industry.

2.2 **Plan changes.** Client may move to a different plan at any time by written notice. The change takes effect at the start of the next service period unless the parties agree otherwise, and the new plan's Scope of Work applies from then on.

2.3 **Team and subcontractors.** HuskyTail may use its own team members and contractors, some of whom may be located outside the United States, and software tools, including artificial-intelligence tools, to perform the services. HuskyTail is responsible for their work under this Agreement and binds them to confidentiality obligations at least as protective as Section 10.

2.4 **Not included.** Unless a Scope of Work says otherwise, the services do not include social-media management, paid-advertising management, full e-commerce or Shopify stores, legal, regulatory or accessibility-compliance review of Client's content, or the cost of third-party products such as premium plugins, paid directory listings, stock media and domain renewals.

2.5 **Non-exclusive.** This Agreement is non-exclusive. HuskyTail may provide services to other businesses, including businesses in Client's industry or market, provided it does not use Client's Confidential Information to do so. Any exclusivity must be in a separate written agreement signed by Stephen Gardner.

## 3. Client Responsibilities

3.1 **Information and access.** Client will provide accurate and timely information, materials and approvals, and the account access described in the Account Access Authorization (Exhibit A). HuskyTail is not responsible for delays or results affected by missing information, access or approvals.

3.2 **Approvals.** HuskyTail will send new pages, blog posts and substantial copy changes to Client for approval before publishing unless Client waives approval in writing for a type of content. Routine technical and on-page optimizations do not need separate approval. If Client does not respond within 10 business days, HuskyTail may set that item aside and continue with other priorities; fees are not reduced.

3.3 **Client content and claims.** Client is responsible for the accuracy and legality of the information, materials and claims Client provides or approves, including licensing, credentials, prices, guarantees, testimonials and before-and-after results, and for compliance with the advertising rules of Client's profession (for example, state bar or health-care advertising rules). Client confirms it has the rights to all materials it provides to HuskyTail.

3.4 **Reviews.** HuskyTail will not write, buy or post fake reviews, and will not suppress or filter negative reviews. Client will not ask HuskyTail to do so, and will not offer incentives that depend on a review being positive. Review-request programs will invite all customers, not only satisfied ones.

## 4. Fees and Payment

4.1 **Fees.** Client will pay the plan and fees stated in the attached Scope of Work / Order and in any later Scope of Work. All fees are in U.S. dollars. The recurring service fee is payable every 4 weeks (28 days).

4.2 **Deposit or setup fee.** None — $0. No deposit or setup fee is required. The first 28-day service fee is charged at checkout. Billing and setup begin as provided in Checkout Terms C1–C4.

4.3 **Annual plans.** Not applicable to this engagement billed every 4 weeks (28 days). No annual prepayment or annual automatic-renewal election is included.

4.4 **Billing.** Stripe collects the first service fee at checkout and automatically charges subsequent service fees every 4 weeks (28 days), at the start of each service period, under Checkout Term C3. There are 13 billing cycles per 52 weeks. No 14-day invoice payment window applies to these subscription charges. Cancellation and refunds follow Checkout Terms C4 and C5.

4.5 **Late payment.** Any amount not paid within 15 days after its due date accrues a late charge of 1.5% per month on the overdue balance, or the highest rate permitted by law, if lower. After giving Client at least 5 business days' written notice, HuskyTail may pause the services until the account is current. Client will pay reasonable costs of collecting overdue amounts, including attorney's fees and collection-agency fees.

4.6 **Price changes.** HuskyTail may change recurring fees on at least 30 days' written notice. This does not apply to the rate payable every 4 weeks (28 days) that the Scope of Work locks for as long as Client remains continuously enrolled in that plan.

4.7 **Taxes.** Fees exclude taxes. Client pays any sales, use or similar taxes on the services, other than taxes on HuskyTail's income.

4.8 **Disputed invoices.** Client will raise any good-faith invoice dispute in writing before the due date and pay the undisputed portion on time.

## 5. Term and Termination

5.1 **Term.** There is no long-term contract. This plan renews every 4 weeks (28 days) until either party ends it on at least 30 days' written notice.

5.2 **Termination for cause.** Either party may end this Agreement on written notice if the other party materially breaches it and does not cure the breach within 10 days (for non-payment) or 30 days (for any other breach) after written notice. HuskyTail may end this Agreement immediately if Client engages in abusive, fraudulent or illegal conduct toward HuskyTail, its team or the public, or asks HuskyTail to do something unlawful or in violation of a platform's policies.

5.3 **Effect of termination.**
(a) Client pays all fees for services through the termination date, and any earned one-time fees.
(b) HuskyTail delivers to Client any completed work product that has been paid for in full.
(c) Within 10 business days, HuskyTail removes its own access to Client's accounts and transfers to Client any account it created for Client (see Exhibit A).
(d) If Client does not continue hosting with HuskyTail, HuskyTail will provide a full export of Client's website files and database on request made within 30 days after termination. HuskyTail may delete Client's hosted site, backups and project files after that period.
(e) There is no early-cancellation charge for a website included in a recurring plan, unless the Scope of Work says otherwise.

5.4 **Survival.** Sections 4 (for amounts owed), 5.3, 7, 9, 10, 11, 12, 13 and 14 survive termination, subject to any duration limits stated in those Sections, including Section 10.5.

## 6. Hosting and Website Care

6.1 **When this applies.** This Section applies when the Scope of Work includes hosting, managed hosting or website care, whether as part of a marketing plan or on its own.

6.2 **What HuskyTail provides.** HuskyTail provides hosting through third-party infrastructure providers, keeps the platform, theme and plugins reasonably up to date, maintains regular backups and basic security monitoring, and makes the website updates described in the Scope of Work.

6.3 **Availability.** HuskyTail uses commercially reasonable efforts to keep hosted sites available but does not guarantee uninterrupted service. Outages caused by hosting providers, domain or DNS providers, third-party plugins, attacks or other events outside HuskyTail's reasonable control are not a breach of this Agreement. HuskyTail will work to restore service promptly from its most recent backup.

6.4 **Domains.** Client's domain stays registered in Client's name and, where possible, in Client's own registrar account. If HuskyTail registers or holds a domain for Client, it does so in Client's name, at Client's cost, and will transfer it to Client on request once all amounts are paid.

6.5 **Acceptable use.** Client will not use the hosted site for unlawful content, malware, spam or infringing material. HuskyTail may take down content that violates this Section or the hosting provider's policies and will notify Client promptly.

6.6 **Not included.** Unless a Scope of Work says otherwise, hosting does not include email hosting, payment-card processing on the site, or guaranteed compliance with accessibility, privacy or security standards.

## 7. Intellectual Property

7.1 **Client materials and accounts.** Client keeps all rights in its names, logos, content, data and materials ("Client Materials") and in its online accounts, including its Google Business Profile, analytics, Search Console, domain and hosting accounts. Client grants HuskyTail a non-exclusive license to use Client Materials only to perform the services.

7.2 **Deliverables.** When Client has paid in full for them, HuskyTail assigns to Client its rights in the deliverables created specifically for Client under a Scope of Work, such as the completed website, page copy, blog posts and custom graphics ("Deliverables"). For a website included in a recurring plan, unless the Scope of Work says otherwise, Client owns the completed website once it launches, and can export it to another provider or continue hosting with HuskyTail.

7.3 **HuskyTail Tools.** HuskyTail keeps all rights in its pre-existing and general-purpose materials, including its methods, processes, frameworks, templates, checklists, code libraries, prompts, software, reporting formats and know-how ("HuskyTail Tools"), and in improvements to them. To the extent HuskyTail Tools are built into a Deliverable, HuskyTail grants Client a perpetual, non-exclusive, royalty-free license to use them as part of that Deliverable.

7.4 **Third-party items.** Themes, plugins, fonts, stock media and other third-party items are licensed to Client under their owners' terms, which Client agrees to follow.

7.5 **AI-assisted work.** Some Deliverables may be drafted with the help of artificial-intelligence tools and are reviewed by HuskyTail before delivery. Copyright protection for AI-assisted material may be limited by law. HuskyTail does not enter Client's Confidential Information into AI tools that use customer inputs to train their models.

## 8. No Guarantee of Results

Search and AI-platform results depend on factors outside HuskyTail's control, including algorithm changes, platform policies, competitors and market conditions. HuskyTail does not guarantee any ranking, placement, map-pack position, AI-assistant citation or recommendation, traffic, lead, revenue or return on investment. Submissions to search engines, AI platforms and directories do not guarantee indexing or placement. Projections and timelines are good-faith estimates, not commitments. Suspension or restriction of a Client account by Google or another platform is not a breach by HuskyTail unless it results from HuskyTail's breach of this Agreement.

## 9. Warranties, Disclaimer and Limitation of Liability

9.1 **Mutual.** Each party confirms that it has authority to enter into this Agreement and that the person signing for it is authorized to bind it.

9.2 **Remedy.** If a service does not meet Section 2.1, Client's remedy is for HuskyTail to re-perform it, if Client notifies HuskyTail within 30 days after it was performed, or, if re-performance does not fix it, a refund of the fees paid for that service.

9.3 **Disclaimer.** Except as stated in this Agreement, the services and Deliverables are provided "as is," and HuskyTail disclaims all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

9.4 **No indirect damages.** Neither party is liable to the other for lost profits, lost revenue, lost data, loss of goodwill, or indirect, incidental, special, consequential or punitive damages, even if advised that they were possible.

9.5 **Cap.** Each party's total liability arising out of or relating to this Agreement is limited to the fees Client paid HuskyTail under this Agreement in the three (3) months before the event giving rise to the claim.

9.6 **Exceptions.** Sections 9.4 and 9.5 do not limit (a) Client's obligation to pay fees, (b) either party's liability for its gross negligence, fraud or willful misconduct, or (c) a party's obligations under Section 12 (Indemnification). These limitations do not prevent equitable relief under Section 10.9.

## 10. Mutual Confidentiality

10.1 **Purpose and definition.** The parties may share information to carry out their business relationship for search-engine optimization, AI search, website and related digital-marketing services, and to evaluate or negotiate additional services during this Agreement (the "Purpose"). "Confidential Information" means non-public business, technical, financial or customer information that one party (the "discloser") shares with the other (the "recipient") for the Purpose, in any form, that is marked confidential or that a reasonable person would understand to be confidential. It includes login credentials, customer and lead data and lists, pricing, business and marketing plans, analytics and performance data, strategy, reports, each party's methods and know-how, and HuskyTail Tools. This Section applies to information shared for the Purpose on or after the Effective Date and during this Agreement. Its obligations begin on the Effective Date established by electronic acceptance under Checkout Term C1.

10.2 **Obligations.** The recipient will (a) use Confidential Information only for the Purpose; (b) share it only with its owners, employees, contractors and professional advisers who need it for the Purpose and are bound by confidentiality obligations at least as protective as this Section, and remain responsible for their compliance; (c) protect it with at least the care it uses for its own similar information, and no less than reasonable care; and (d) notify the discloser promptly after learning of any unauthorized use or disclosure. Section 11's additional limits and incident-notice requirements apply to Client Data; the Purpose does not expand the permitted processing of Client Data under Section 11.

10.3 **Exclusions.** Confidential Information does not include information that the recipient can show (a) is or becomes public through no fault of the recipient; (b) the recipient already knew without a duty of confidentiality; (c) the recipient lawfully received from a third party without a duty of confidentiality; or (d) the recipient developed independently without using the discloser's information.

10.4 **Required disclosure.** The recipient may disclose Confidential Information if required by law, regulation or court order, after giving the discloser prompt written notice, where lawful, and reasonable help to seek protective treatment. The recipient will disclose only what is legally required. Protected reporting under Section 10.10 does not require advance notice or permission.

10.5 **Duration and return.** The obligations in this Section continue during this Agreement and for two (2) years after it ends. For trade secrets and login credentials, these obligations continue indefinitely, subject to the exclusions in Section 10.3. On the discloser's written request at any time, the recipient will promptly return or delete the discloser's Confidential Information. The recipient may keep copies in routine backups or as required by law or binding record-keeping obligations; retained copies remain protected for the applicable period above and may not be used for another purpose. This exception does not permit retaining Client Data longer than Section 11 allows. A request that removes information needed for services may affect performance under Section 3.1; it does not itself terminate services or change the notice required by Section 5.1. Section 5.3 continues to govern delivery of paid work and website exports.

10.6 **Credentials.** Client should grant access through user invitations and roles wherever a platform allows. HuskyTail stores any passwords Client shares in an encrypted password manager or secrets store, and never in email, chat or documents.

10.7 **No implied license or further obligation.** Sharing Confidential Information does not itself grant a license or ownership right; Section 7 governs the rights and licenses needed for the services and Deliverables. Neither party must share particular information or enter into additional business beyond its obligations under this Agreement. Confidential Information shared solely to evaluate or negotiate additional business is provided "as is," without warranty. This does not limit the parties' express service, information or warranty obligations under this Agreement.

10.8 **Non-exclusivity and independent work.** Either party may work with other persons, including the other party's competitors, and develop products, services or marketing strategies independently, provided it does not use or disclose the other party's Confidential Information to do so. Personnel may use their general skills, knowledge and experience, but this does not permit disclosure of Confidential Information or use of the other party's specific data. Any separately agreed exclusivity under Section 2.5 remains effective.

10.9 **Remedies.** Unauthorized use or disclosure may cause harm that money damages cannot fully remedy. Either party may seek an injunction or other equitable relief to protect its Confidential Information, in addition to any other remedy available under this Agreement and applicable law. Section 13.2 permits urgent relief without waiting for negotiations; Section 9.6 governs the application of monetary liability limits.

10.10 **Protected reporting.** Under 18 U.S.C. § 1833(b), an individual has immunity from federal and state trade-secret liability for confidential disclosure to a government official or attorney solely to report or investigate a suspected legal violation, or for disclosure in a lawsuit or other proceeding in a document filed under seal. An individual suing for employer retaliation for reporting a suspected violation may disclose the trade secret to their attorney and use it in the proceeding if documents containing it are filed under seal and it is not otherwise disclosed except by court order. Nothing in this Agreement prevents lawful reporting of possible violations to a government agency or requires prior approval for protected reporting.

## 11. Client Data and Privacy

11.1 **Client Data.** "Client Data" means personal information about Client's customers, leads, patients or website visitors that HuskyTail receives, hosts or can access in providing the services, such as website-form submissions, booking data, analytics data and review-platform data.

11.2 **HuskyTail's role.** HuskyTail processes Client Data only on Client's behalf and only to provide the services, and acts as Client's service provider or processor under applicable privacy laws. HuskyTail will not (a) sell or share Client Data, as those terms are defined in the California Consumer Privacy Act, (b) use or disclose it for any other purpose, (c) combine it with personal information from other sources except as the services require and the law allows, or (d) keep it longer than needed to provide the services or meet legal obligations. HuskyTail will comply with the privacy laws that apply to it as a service provider and will notify Client if it can no longer meet these obligations.

11.3 **Client's role.** Client is responsible for its own privacy policy, cookie and consent banners, form and text-message consent language, and the legal basis for collecting Client Data. HuskyTail may recommend wording but does not provide legal advice.

11.4 **Service providers and security.** HuskyTail may use service providers, such as hosting, backup, analytics, form and email providers, that process Client Data under written terms at least as protective as this Section, and will give Client a current list on request. HuskyTail uses reasonable administrative, technical and physical safeguards, and will notify Client without undue delay, and no later than 72 hours after confirming a security incident affecting Client Data, with the information Client reasonably needs to meet its own notice obligations.

11.5 **Health information.** HuskyTail does not provide services that involve receiving, storing or transmitting protected health information ("PHI") as defined by HIPAA, and does not enter into business associate agreements. Client will not provide PHI to HuskyTail or direct HuskyTail to collect or access PHI through any website, form, analytics, tag, chat, booking tool or account that HuskyTail builds, hosts or manages. Any patient intake or other handling of PHI must remain in Client’s own separately managed systems outside these services.

11.6 **Review responses.** For health-care and legal clients, HuskyTail will not confirm in public review responses that a reviewer is a patient or client, or reveal any details of their care or matter.

11.7 **End of services.** After this Agreement ends, HuskyTail will return or delete Client Data under Section 5.3 and Section 10.5.

## 12. Indemnification

12.1 **By Client.** Client will defend and indemnify HuskyTail against third-party claims, and the resulting losses, damages and reasonable attorney's fees, arising from (a) Client Materials, (b) content or claims Client approved or instructed HuskyTail to publish, (c) Client's products, services or business practices, or (d) Client's breach of Section 3.3, 3.4 or 11.

12.2 **By HuskyTail.** HuskyTail will defend and indemnify Client against third-party claims that a Deliverable created by HuskyTail infringes a third party's copyright or trademark, and the resulting losses, damages and reasonable attorney's fees. This does not apply to Client Materials, third-party items, or changes Client or others made to the Deliverable. HuskyTail's total obligation under this Section 12.2 is limited to the fees Client paid under this Agreement in the twelve (12) months before the claim.

12.3 **Process.** The indemnified party will notify the other party promptly of the claim, let it control the defense and settlement (but no settlement that admits fault for, or imposes obligations on, the indemnified party without its consent), and provide reasonable cooperation at the indemnifying party's cost.

## 13. Disputes and Governing Law

13.1 **Governing law.** This Agreement is governed by the laws of the State of Nevada, without regard to its conflict-of-law rules.

13.2 **Negotiation first.** Before starting a lawsuit, the parties will try in good faith to resolve the dispute for at least 30 days after one party gives written notice of it. Either party may seek urgent court relief to protect its Confidential Information or intellectual property without waiting.

13.3 **Venue.** Any lawsuit will be brought in the state or federal courts located in Clark County, Nevada, and each party consents to their personal jurisdiction.

## 14. General

14.1 **Notices.** Notices under this Agreement, including termination notices, must be in writing and may be sent by email to the notice email in the Order Summary (for Client) or to support@huskytaildigital.com (for HuskyTail), or by mail or courier to the address above. Email notice is effective when sent, unless the sender receives a bounce or error message. Access-revocation notices use the special address in Exhibit A, Section A6; that address does not replace the address for termination or other legal notices.

14.2 **Independent contractors.** The parties are independent contractors. Nothing in this Agreement creates a partnership, joint venture, employment or agency relationship, except the limited agency in Exhibit A.

14.3 **Publicity.** Unless Client records the publicity opt-out at checkout, HuskyTail may list Client's business name as a client. HuskyTail will not use Client's logo, testimonial, reviews, results or case study without Client's written approval.

14.4 **Assignment.** Neither party may assign this Agreement without the other's written consent, except to a successor to all or substantially all of its business that agrees in writing to be bound by it.

14.5 **Force majeure.** Neither party is liable for delay or failure caused by events beyond its reasonable control, such as platform or internet outages, natural disasters or government action. This does not excuse payment obligations.

14.6 **Resale.** Client may not resell or white-label HuskyTail's services. White-label, reseller and agency-partner relationships are governed only by a separate written reseller agreement, which controls over this Agreement where they conflict.

14.7 **Entire agreement and changes.** This Agreement, with its Scopes of Work and Exhibit A, is the entire agreement between the parties about the services and mutual confidentiality for the Purpose, and replaces earlier proposals and understandings on those subjects. It does not amend a separately executed agreement unless the parties expressly identify that agreement and the change in a writing signed by both parties; accrued rights are preserved. It may be changed only in a writing accepted by both parties, including by email or electronic signature, except that changes to Section 10 require a writing signed by both parties. If any provision is unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver.

14.8 **Electronic signatures.** The parties consent to conduct this transaction electronically; electronic signatures and records have the same legal effect as originals; this Agreement may be signed in counterparts.

- Managed hosting on HuskyTail's Cloudways servers for one identified website per plan, with one initial migration included.
- Daily backups of website files and database, stored off-server by the host, with 30-day retention; one final backup on request at termination.
- 24/7 uptime monitoring and hosting support through the channels and during the hours in Section 1; outage acknowledgment and restoration target as stated in Section 6.
- Routine plugin, theme and WordPress updates quarterly, in the third week of January, April, July and October, with a backup taken before the update and a site check afterward. Sites starting mid-quarter receive their first routine update next quarter. HuskyTail schedules updates and may defer a risky release under Section 4.
- Critical security patches for actively exploited or high-severity vulnerabilities affecting the covered site are applied immediately, even when a routine update is scheduled, subject to patch availability under Section 4.
- No website changes. Requests for changes require a Core+ upgrade or separately approved billable work.
- For breakage caused by HuskyTail's updates, rollback is included at no charge. Agreement Section 9.2 governs deficient HuskyTail work: qualifying re-performance is at no charge, including on Core. Further fixes are US $59 per hour only for non-deficient causes, such as third-party/vendor update breakage or Client changes, and only where no express inclusion covers the work.
- Malware cleanup is billable at US $59 per hour under Section 5.

## 3. Backups and restoration

HuskyTail will maintain daily backups of the covered website's files and database, stored off-server by the host, retaining restore points for 30 days. Backups are not a permanent archive or a guarantee that every change, submission or transaction can be recovered. Data created or changed after a restore point may be lost if that restore point is used. Client must keep its own current copies of its content and business data, including data outside the agreed backup coverage.

Client may request restoration through the agreed support channel. HuskyTail will assess available restore points, explain the expected data rollback and obtain Client's authorization for the selected restore point before replacing live data. HuskyTail will restore the available files and database covered by the backup and check the restored site. In an emergency, the Client approval contact identified in Section 1 or HuskyTail may order a rollback without waiting for a separate approval of the restore point. A rollback may lose changes made after that restore point.

The first restore per incident is included in either plan. Later restores for the same incident are US $59 per hour, with Client's written approval before billable work begins. An incident means a single underlying failure or event requiring recovery, rather than each restore attempt. Correcting HuskyTail's defective restoration is not a separately chargeable restore; Core update-breakage rollback and Core+ update-breakage correction under Section 2 remain included. A host outage or missing, damaged or infected restore point may prevent or delay recovery. The restoration target in Section 6 applies; no maximum-data-loss target is promised.

Agreement Sections 9.4–9.6 govern data-loss claims, including their existing exclusions, liability cap and exceptions. Client's duty to keep copies does not release HuskyTail from its express backup, restoration or security obligations, remove the service remedy in Section 9.2, or exclude liability that applicable law does not permit the parties to exclude.

## 4. Updates and changes

Updates can cause compatibility problems or downtime. Core includes routine updates in the third week of January, April, July and October, with the first routine update next quarter for mid-quarter starts; Core+ includes routine updates monthly (once per calendar month). HuskyTail schedules routine updates and may defer a risky release. A backup is taken before each routine update and the site is checked afterward. Both plans include immediate critical security patches for actively exploited or high-severity vulnerabilities, even when a routine update is scheduled. Routine scheduling or deferral does not postpone an available critical patch. Core includes rollback of breakage caused by HuskyTail's updates at no charge. Agreement Section 9.2 governs deficient HuskyTail work: re-performance required by that Section is at no charge on either plan, and its refund remedy remains unchanged. The US $59-per-hour further-fix tariff on Core applies only to non-deficient causes, such as third-party/vendor update breakage or Client changes, where no express inclusion covers the work. Core+ includes correction of breakage caused by HuskyTail's own updates at no charge, without using the change allowance. Availability of a supported patch may depend on the software vendor and a valid license. An unavailable patch does not authorize an unpriced replacement, redevelopment or license purchase.

Troubleshooting or repairing changes made by Client or a third party is billable work rather than included maintenance. HuskyTail will agree the scope and obtain Client's written approval before performing that work at US $59 per hour. The included first restore per incident remains included even when the incident follows such a change. There is no double charge for work already covered by an express inclusion or HuskyTail's own service remedy.

The Core+ hour covers agreed small edits to the existing site only. Bigger work, including a new site, redesign, new application or substantial new functionality, is quoted separately at US $59 per hour. The included initial migration remains included; later migration work requires a separately agreed scope and price. Paid products and licenses are governed by the following clause.

**Paid products and licenses.** For purposes of Agreement Sections 2.4 and 7.4, premium or paid plugins, themes, licenses, renewals, add-ons and third-party subscriptions for Client's website or accounts are Client's responsibility and cost. HuskyTail does not purchase or renew these items for Client. Updating a paid plugin requires Client to maintain and provide a valid license; Client is responsible for an expired license and its renewal. This clause does not remove or impose a separate charge for hosting, backups, migration or other services expressly included in this Order, and does not require Client to pay for HuskyTail's own tools used to deliver those services. Exhibit A's purchase-approval restriction does not create a purchasing or renewal obligation for HuskyTail.

Pirated/nulled or abandoned plugins, custom code by others and third-party services are unsupported under the included maintenance scope. Work on these items is billable at US $59 per hour after Client approves the scope in writing. The third-party exclusion never removes hosting, backups, the initial migration or any other service expressly included in this Order, and never overrides Agreement Section 9.2.

## 5. Security incidents and malware

Critical patching and backups reduce risk but do not guarantee a hack-free or malware-free site. Following a compromise, both plans include the first restore from an available suitable backup and critical patching within the selected plan. Core+ also includes one malware cleanup per contract year for the covered website, measured from Client's start date stated in Section 1 and resetting on each anniversary of that date; Core malware cleanup is billable at US $59 per hour, with Client's written approval before billable work begins. A restore does not guarantee removal of malware, correction of the original vulnerability or prevention of reinfection.

The Core+ allowance does not include unlimited cleanup. Additional Core+ cleanups, forensic investigation, rebuilding a compromised site, blacklist removal and remediation of systems outside the covered site require a separately approved scope and price. HuskyTail will identify that scope and obtain Client's written approval before starting it. This limitation does not excuse included Core+ update-breakage correction, HuskyTail's service remedy, or its duties under Agreement Sections 10 and 11. Applicable legal security and breach-notification duties continue to apply, including any shorter statutory notice deadline.

## 6. Availability and limits

Availability depends on the hosting provider, network, DNS, software and other infrastructure. Uptime is monitored 24/7. Hosting support is available through the Help Desk form or support@huskytaildigital.com, Monday–Friday, 7am–4pm Pacific Time. HuskyTail will acknowledge outages within 2 business hours and targets restoration within 1 business day; these business periods run during those support hours, from detection or receipt of the outage report. Monitoring does not promise uninterrupted service or continuous human coverage. The restoration time is a target, not a guaranteed deadline, and recovery may depend on the host and available restore points.

No SEO, Google Business Profile management, marketing reports, new website design or email hosting is included. Agreement Section 6.6 and the no-PHI restriction in Section 11.5 continue to apply. No hosting-provider uptime percentage, service credit or other service-level commitment is incorporated unless expressly identified and agreed in this Order.

## 7. Cancellation and data handover

Either party may cancel with at least 30 days' written notice under Agreement Section 5.1. Client may send cancellation notice to support@huskytaildigital.com. Fees through termination and handover remain governed by Agreement Section 5.3; this Order adds no early-cancellation charge.

If Client does not continue hosting with HuskyTail, Client may request a full export of its website files and database within 30 days after termination, as provided in Section 5.3(d). HuskyTail will provide that export and, on request at termination, one final backup of the website files and database. Transferring the export into another provider's service, reconfiguration and outbound migration work are not included unless separately agreed; the initial inbound migration included at the start of the plan is unaffected. Client should arrange its replacement hosting before termination. The export-request period does not extend live hosting service or the rolling 30-day retention of individual backup points. HuskyTail may delete the hosted site, backups and project files after the Section 5.3(d) period, subject to the Agreement's data-handling duties and applicable law. Account transfers and removal of HuskyTail's access follow Section 5.3(c) and Exhibit A.

## 8. Express relationship to the v8 Master

Under Agreement Section 1.2, this Order makes only these express adjustments for the hosting services:

- **Section 2.1:** the applicable professional and workmanlike standard is generally accepted practice for managed website hosting and care, rather than search marketing.
- **Section 6.2 is replaced for this Order:** HuskyTail provides managed hosting through the provider identified in Section 1 and only the backups, uptime monitoring, critical patches, routine updates and changes expressly included in the selected plan. Core includes quarterly routine updates in the third week of January, April, July and October (first routine update next quarter for mid-quarter starts) but no website changes; Core+ includes routine updates monthly (once per calendar month). HuskyTail schedules routine updates and may defer a risky release. Both plans include immediate critical security patches even when an update is scheduled, as stated in Sections 2 and 4. Security duties in Agreement Section 11 remain in force.
- **Section 6.3's final sentence is replaced for this Order:** HuskyTail will acknowledge outages within 2 business hours and use commercially reasonable efforts to restore service within the target of 1 business day under Order Section 6, using an available suitable restore point where restoration is appropriate and authorized under Order Section 3. The other availability provisions of Section 6.3 remain unchanged; the restoration target is not a guaranteed deadline.

The checkout terms govern electronic acceptance, billing, setup and refunds. Otherwise, Master terms remain unchanged, including the 30-day cancellation notice, liability exceptions, mutual confidentiality, governing law and notices. This Order and the hosting Exhibit A are accepted under Checkout Term C1.

# Exhibit A — Hosting Account Access Authorization (v3)

**The Client named in the attached Master Client Service Agreement** ("Client") authorizes **HuskyTail Digital Marketing, LLC** ("HuskyTail") as follows.

### A1. Authorization

Client authorizes HuskyTail, its team members and contractors to access the accounts listed in Section A2, make the changes included in the selected hosting Order, and contact the hosting and software providers about those services as Client's limited agent. This authorization is limited to the selected Order, including its initial migration, routine-update schedule, immediate critical security patches and emergency rollback ordered by Client's approval contact or HuskyTail; it does not add website changes to Core or authorize marketing or listing work.

### A2. Accounts and Access Level

Send all access invitations to stephen@huskytaildigital.com; never send passwords by email.

| Account | Access HuskyTail needs | Client keeps |
|---|---|---|
| Website content management system for the covered website | Administrator or the role required for the agreed services | Administrator |
| Hosting and backup service for the covered website | Technical or collaborator access sufficient for the agreed hosting and restores | Rights to Client's site and data; ownership of any dedicated Client account |
| Domain registrar and DNS | Delegated DNS access only where needed for the agreed services | Registrant and billing |

Only accounts needed for the completed hosting Order are included. Access to shared infrastructure does not transfer ownership of HuskyTail's or another customer's account.

### A3. Limits

HuskyTail will:
(a) use the access only for the services in Client's agreement;
(b) never remove Client as owner, change account ownership or billing, make purchases, or incur charges in Client's name without Client's written approval;
(c) make domain and DNS changes only for the agreed services, coordinated with Client in advance, except for an emergency fix to restore a site that is down;
(d) use invitation-based access wherever a platform offers it, and keep any passwords Client shares in an encrypted password manager or secrets store, never in email, chat or documents; and
(e) treat all account data as Client's Confidential Information under the agreement.

### A4. Client Confirms

Client confirms that it owns or controls the Client accounts listed and has authority to grant this access. Client will keep its owner-level access and recovery email and phone up to date.

### A5. Accounts HuskyTail Creates

Any dedicated account HuskyTail creates for Client will be created for Client's business and, where the platform allows, owned by Client. HuskyTail will transfer ownership to Client on request and when the agreement ends. A shared infrastructure account is not a Client account; Client's export and handover rights remain under Agreement Section 5.3.

### A6. Revoking Access

Client may revoke or reduce HuskyTail's access at any time by notice to **stephen@huskytaildigital.com**. Services that depend on that access may pause, and fees continue under the agreement unless Client also ends it. Within 10 business days after the agreement ends, HuskyTail will remove its own access and confirm in writing that it has done so.

### A7. No Protected Health Information

The services exclude protected health information (PHI). Client will not provide access to patient records or other PHI through these accounts. HuskyTail does not enter into business associate agreements; any systems handling PHI remain outside this authorization.
